B2B Framework Agreement

Article 1: Parties
This B2B Framework Agreement is concluded between FastAssist24 (FastAssist24 CommV), BE1039597203, registered at Dumolinlaan 1, box 13, Kortrijk, 8500 (hereinafter "FastAssist24"), and the business customer as indicated upon registration (hereinafter "Customer").
Article 2: Scope
This agreement governs the Customer's access to and use of the FastAssist24 B2B platform, including the dispatching system, real-time tracking, SLA monitoring, reporting and invoicing.
Article 3: Access and User Accounts
FastAssist24 grants the Customer access to the B2B portal via secure login credentials. The Customer is responsible for managing its user accounts and keeping access credentials confidential.
Article 4: Services
FastAssist24 provides 24/7 roadside assistance and towing services through a network of verified service providers. Regional availability and the service offering are described in the appendices to this agreement.
Article 5: Pricing and Invoicing
Rates are set out in the individual pricing appendix. Invoices are issued monthly based on actual usage and are payable within 30 days. In case of late payment, late payment interest is due in accordance with the Act of 2 August 2002 on combating late payment.
Article 6: Confidentiality
Both parties undertake to treat all information received in the context of this agreement as confidential and not to disclose it to third parties, unless with written consent of the other party or unless legally required.
Article 7: Data Protection
FastAssist24 processes personal data of the Customer's employees and users in accordance with the GDPR and acts as processor within the meaning of Article 28 GDPR. A separate data processing agreement is available on request.
Article 8: Duration and Termination
This agreement is concluded for an indefinite period and may be terminated by either party with 3 months' written notice by letter or email (b2b@fastassist24.be).
Article 9: Liability
FastAssist24's liability is limited to direct damage and at most the amount paid by the Customer in the 3 months preceding the damaging event. FastAssist24 is not liable for indirect damage, consequential damage or loss of profit.
Article 10: Governing Law
This agreement is governed exclusively by Belgian law. Disputes shall be settled by the competent courts of the district where FastAssist24 has its registered office.
